Kiges Talent Terms of Service

August 6, 2026

Effective date: August 6, 2026

These Terms of Use (hereinafter – the Terms) govern the relations arising between the operator of the Kiges Talent platform and the Users of the platform, and define the procedure for using the freelance platform Kiges Talent, located at https://talent.kiges.cc (hereinafter – the Platform).

1. General Provisions

1.1. The operator of the Platform is Olga Gib (hereinafter – the Operator), who provides Users with access to the Platform on the terms set forth in these Terms.

1.2. The Platform is a freelance marketplace that allows Clients to find Specialists for the performance of tasks and projects, and Specialists to offer their services to Clients. The Platform provides two cooperation models: Subscription-based Specialists (access to a Specialist's services for a fixed number of minutes within a paid period) and One-time Projects (a separate project with a fixed scope and price).

1.3. Use of the Platform constitutes full and unconditional acceptance of these Terms by the User. If the User does not agree with the terms, they must not register on or use the Platform.

1.4. The Terms take effect for a User from the moment of their registration on the Platform and/or the commencement of use of the Platform's functionality.

1.5. The Platform is provided in Beta status. This means that the Platform is in the testing and refinement stage and may contain errors, bugs, or inaccuracies.

1.6. By registering on the Platform, the User confirms that they have read these Terms, the Kiges Privacy Policy, and other documents governing the use of Kiges services, and agrees to comply with them.

2. Basic Terms and Definitions

2.1. Operator – Olga Gib, providing access to the Platform and performing the functions of an intermediary (agent) between Clients and Specialists.

2.2. User – any individual or legal entity that has registered on the Platform. A User may act as a Client, a Specialist, or both.

2.3. Client – a User who places orders, purchases subscriptions to Specialists, or creates One-time Projects for the purpose of obtaining services from Specialists.

2.4. Specialist – a User who offers their services on the Platform, performs tasks of Clients, and receives remuneration for the services provided.

2.5. Subscription – a paid access model under which a Client pays for the right to use the services of a specific Specialist for a fixed number of minutes within a defined period (for example, a calendar month).

2.6. Minutes – a unit of measurement of the volume of services provided by a Specialist under a Subscription. Minutes are provided within a paid period, are not carried over to subsequent periods, are not subject to monetary compensation for unused balance, and expire at the end of the paid period.

2.7. One-time Project – a separate task or project with a fixed scope, deliverables, price, and deadlines, created by a Client and accepted for execution by a Specialist.

2.8. Order – a request from a Client to a Specialist, executed as a Subscription purchase or a One-time Project.

2.9. Escrow – a mechanism for temporarily holding funds paid by the Client, used by the Platform to ensure the fulfillment of obligations under One-time Projects. Funds in Escrow are held by the payment provider and are released to the Specialist only upon fulfillment of the conditions defined by the Platform.

2.10. Commission – a fee charged by the Operator for the use of the Platform, the amount of which is published on the Platform.

2.11. Content – any information, materials, files, texts, images, and other data posted by Users on the Platform.

3. Subject of the Agreement

3.1. The Operator provides the User with access to the Platform – an informational and technical environment that enables Clients and Specialists to find each other, enter into relations, and carry out settlements for the services provided.

3.2. The Platform performs solely the functions of an intermediary (agent) between Clients and Specialists. The Operator is NOT a party to the service agreement concluded between the Client and the Specialist, and does not act as a contractor, subcontractor, employer, or representative of either party.

3.3. The service relationship arises directly between the Client and the Specialist. The Operator does not control, does not verify, and is not responsible for the quality, safety, legality, completeness, or timeliness of the services provided by Specialists, nor for the accuracy of the information provided by Clients.

3.4. The Operator does not guarantee that a Specialist will be found for a Client's order, that a Client will purchase a Specialist's services, or that any order will be successfully completed.

3.5. The Platform is provided in Beta status. The Operator does not guarantee uninterrupted operation of the Platform, the absence of errors, bugs, or inaccuracies. The Operator undertakes to take reasonable measures to minimize interruptions and eliminate identified errors.

4. Registration and Account

4.1. To use the Platform, a User must register by providing accurate and complete information about themselves.

4.2. The User is responsible for the accuracy of the information provided during registration and for keeping it up to date.

4.3. The User is fully responsible for the security of their account credentials and for all actions performed using their account, regardless of whether they were performed by the User or by third parties who gained access to the account.

4.4. The User is prohibited from registering multiple accounts for the purpose of circumventing the Platform's rules, obtaining undue benefits, or deceiving other Users or the Operator.

4.5. The Operator has the right to refuse registration, suspend, or delete an account without explanation and without refund in case of violation of these Terms, suspicion of fraudulent activity, or provision of false information.

5. Subscription-based Specialists

5.1. A Subscription grants the Client the right to use the services of a specific Specialist for a fixed number of minutes within a paid period (for example, a calendar month).

5.2. The cost, number of minutes, and duration of the Subscription period are determined by the tariffs published on the Platform at the time of purchase.

5.3. Minutes provided under a Subscription:

5.3.1. Are valid only within the paid period and expire at the end of that period.

5.3.2. Are NOT carried over to subsequent periods.

5.3.3. Are NOT subject to monetary compensation, refund, or exchange for unused balance.

5.3.4. May be used solely for receiving services from the Specialist to whom the Subscription was purchased.

5.4. When purchasing a Subscription, the Client may be required to link a bank card for automatic debiting of funds to renew the Subscription for the next period.

5.5. The Operator endeavors to notify the Client of upcoming debits by sending a notification to the email address specified by the Client, in advance of the expiration of the current period. The Operator is not liable if the notification was not delivered for reasons beyond the Operator's control.

5.6. Automatic debiting of funds for Subscription renewal is made before the expiration of the current period. The Client may cancel automatic renewal at any time in the account settings. Cancellation does not entitle the Client to a refund for the current paid period.

5.7. The Operator reserves the right to change the cost, number of minutes, and terms of Subscriptions, including for active Subscriptions, without prior notice. The Client undertakes to independently monitor the current terms.

5.8. The Operator is not responsible for the availability, quality, or timeliness of the Specialist's services under a Subscription. The relationship regarding the provision of services arises directly between the Client and the Specialist.

6. One-time Projects

6.1. A One-time Project is a separate task with a fixed scope, deliverables, price, and deadlines.

6.2. The Client describes the requirements, deadlines, and price of the Project. The Specialist accepts the Project for execution on the terms proposed or on terms agreed with the Client.

6.3. Funds for a One-time Project are placed in Escrow and are held until the conditions for their release established by the Platform are met.

6.4. The release of funds from Escrow to the Specialist is made upon the Client's confirmation of acceptance of the Project results, or automatically upon the expiration of the acceptance period established by the Platform, unless the Client has filed a reasoned dispute.

6.5. The Operator is not a party to the agreement between the Client and the Specialist regarding a One-time Project and does not guarantee the successful completion of the Project.

6.6. The scope, requirements, and results of a One-time Project are determined by the agreement between the Client and the Specialist. The Operator does not verify and is not responsible for the compliance of the results with the Client's expectations.

7. Payments and Commission

7.1. Payments on the Platform are processed through third-party payment providers. The Operator does not store Users' funds, does not issue electronic money, and does not open payment accounts, except for the Escrow mechanism provided by the payment provider.

7.2. Payment data (bank card number, expiration date, CVV code, and other data) is entered by the User directly on the payment provider's side. The Operator does not receive, process, or store full payment data. From the payment provider, the Operator may receive partial (masked) card data, which is displayed in the "Payment Methods" section of Kiges Pay for the purpose of identifying the User's payment method. Such partial data does not allow a payment to be made and cannot be used for unauthorized debiting of funds.

7.3. The Operator charges a Commission for the use of the Platform. The amount and procedure for charging the Commission are published on the Platform and may be changed by the Operator unilaterally without prior notice.

7.4. The Commission is non-refundable, including in cases of refund of the principal amount of an order, cancellation of a Subscription, or termination of a One-time Project.

7.5. The Operator is not responsible for the actions of the payment provider, including delays, payment refusals, technical failures, currency conversion, and other circumstances arising on the payment provider's side.

7.6. All taxes, fees, and other mandatory payments arising in connection with the Users' activities on the Platform shall be paid by the Users independently in accordance with the legislation of their country of residence. The Operator is not a tax agent of the Users and does not withhold or pay taxes on their behalf.

8.2.2. If the Specialist has commenced the performance of the Project, provided any deliverables, or performed any work within the scope of the Project, the funds in Escrow are NOT subject to refund, regardless of the degree of completion, quality, or the Client's subjective assessment of the results.

8.2.3. The decision on the release or return of funds from Escrow is made by the Operator at its sole discretion based on the evidence provided by the parties. The Operator's decision is final and is not subject to appeal or review by judicial or other authorities.

8.2.4. The Commission charged for the One-time Project is non-refundable in all cases.

8.3. To receive a refund, the User must contact the Platform's support team.
