Kiges Partners Terms of Service

October 19, 2026

Effective date: October 16, 2026

These Terms of Use (hereinafter – the Terms) govern the relations arising between the operator of the Kiges Partners affiliate program and the Partners, and define the procedure for participating in the Kiges Partners affiliate (referral) program, located at https://partners.kiges.cc (hereinafter – the Program).

1. General Provisions

1.1. The operator of the Program is Olga Gib (hereinafter – the Operator), who provides Partners with access to the Program on the terms set forth in these Terms.

1.2. Kiges Partners is an affiliate (referral) program that allows Partners to attract new users to Kiges services and receive Remuneration for Qualified Payments made by attracted Referrals on the terms of these Terms.

1.3. Participation in the Program constitutes full and unconditional acceptance of these Terms by the Partner. If the Partner does not agree with the terms, they must not register for or participate in the Program.

1.4. The Terms take effect for a Partner from the moment of their registration in the Program and/or the commencement of use of the Program's functionality (including placement of a Referral Link or Promo Code).

1.5. The Program is provided in Beta status. This means that the Program is in the testing and refinement stage and may contain errors, bugs, or inaccuracies, including in the tracking, attribution, and Remuneration accrual systems.

1.6. By registering in the Program, the Partner confirms that they have read these Terms, the Kiges Privacy Policy, and other documents governing the use of Kiges services, and agrees to comply with them.

1.7. Participation in the Program does NOT create between the Operator and the Partner any employment relationship, agency, representation, mandate, commission, partnership (in the sense of civil law), franchise, joint venture, or other similar relations. The Partner acts independently, in their own name and in their own interests. The Partner is NOT entitled to act on behalf of the Operator, to give any commitments, promises, or guarantees on behalf of the Operator or Kiges services.

1.8. The Remuneration paid under the Program is of an incentive nature and does not constitute payment for the Partner's goods, works, or services, wages, or any other regular payment.

2. Basic Terms and Definitions

2.1. Operator – Olga Gib, providing access to the Program.

2.2. Partner – an individual or legal entity registered in the Program and having accepted these Terms.

2.3. Referral – a new user of Kiges services attracted by the Partner via a Referral Link or Promo Code and attributed to the Partner in accordance with the Operator's tracking rules.

2.4. Referral Link – a unique link issued to the Partner in the Program interface and intended for attracting Referrals.

2.5. Promo Code – a unique code issued to the Partner in the Program interface, which a Referral may specify upon registration or payment.

2.6. Attribution – the process of determining which Partner an attracted Referral belongs to, performed exclusively according to the rules and data of the Operator's tracking systems.

2.7. Qualified Payment – a Referral's payment for paid services of Kiges services participating in the Program, which has been actually received by the Operator, has not been canceled, refunded, or disputed (chargeback), and for which the holding period set by the Operator has expired. Payments not meeting these criteria are not Qualified Payments and do not create a right to Remuneration.

2.8. Remuneration – an incentive payment to the Partner for Qualified Payments, the amount and calculation procedure of which are published on the Program Platform.

2.9. Balance – an estimated value displayed in the Program interface reflecting an estimate of the Partner's accruals. The Balance does not constitute a monetary obligation of the Operator, a deposit, or electronic money, and does not create a right to payment until the payout is confirmed by the Operator.

2.10. Holding Period – a period of time set by the Operator during which accrued Remuneration is in pending status and cannot be paid, including for verification for refunds, chargebacks, and violations.

2.11. Kiges Services – software products and services of the Kiges ecosystem, the list of which participating in the Program is determined and changed by the Operator unilaterally.

2.12. Platform – the Program interface located at https://partners.kiges.cc and/or in other sections of Kiges services.

3. Subject of the Agreement

3.1. The Operator provides the Partner with access to the Program's functionality, including a personal Referral Link and/or Promo Code, statistics of clicks and accruals, and pays Remuneration for Qualified Payments on the terms of these Terms.

3.2. The Operator may, at its sole discretion, determine the list of Kiges Services, products, tariffs, and payment types participating in the Program, and change it unilaterally without prior notice, including with respect to already attracted Referrals.

3.3. The Operator may at any time, at its sole discretion, change the terms of the Program, suspend it, or discontinue it entirely, paying only the amounts of Remuneration confirmed by the Operator for payment as of the date of termination.

3.4. The Operator may offer individual terms of participation to certain Partners. In case of conflict between individual terms and these Terms, the individual terms agreed by the parties shall prevail.

3.5. The Program is provided in Beta status. The Operator does not guarantee uninterrupted operation of the Platform, correct operation of tracking, attribution, and accrual systems, or the absence of errors, bugs, or inaccuracies. The Operator undertakes to take reasonable measures to minimize interruptions and eliminate identified errors.

4. Registration and Account

4.1. To participate in the Program, the Partner must register by providing accurate and complete information about themselves, including up-to-date payment details for receiving payouts.

4.2. The Partner is responsible for the accuracy of the information provided during registration and for its timely updating, including payment details. The Operator is not responsible for payouts sent to the details specified by the Partner, including if such details are incorrect, outdated, or the Partner has lost access to the corresponding account.

4.3. The Partner is fully responsible for the security of their account credentials and for all actions performed using their account, regardless of whether they were performed by the Partner or by third parties who gained access to the account.

4.4. The Partner is prohibited from registering multiple accounts, registering as their own Referral, or attracting their own additional accounts as Referrals.

4.5. The Operator has the right to refuse registration, reject a participation application, suspend, or delete a Partner's account without explanation and without payment of unpaid accruals in case of violation of these Terms, suspicion of fraudulent activity, or provision of false information.

4.6. The Partner's participation and account may not be transferred, sold, assigned, or otherwise alienated to third parties without the prior written consent of the Operator.

4.7. The Operator may restrict participation in the Program on a geographical basis, and refuse registration or payouts to persons subject to sanctions, or where payment to such persons is impossible or restricted under applicable legislation, sanctions regimes, or the rules of payment providers.

4.8. Participation in the Program is permitted only to legally capable individuals who have reached the age of 18 (eighteen), or to legal entities acting through authorized representatives. By registering, the Partner confirms compliance with this requirement.

5. How the Program Works

5.1. The Partner attracts Referrals by placing the Referral Link and/or distributing the Promo Code by methods not prohibited by these Terms and applicable legislation.

5.2. Attribution of a Referral to a Partner is determined exclusively by the data of the Operator's tracking systems based on the rules published on the Platform (including, but not limited to, cookie lifetime, attribution model, Promo Code validity period). The Operator may change the attribution rules unilaterally without prior notice.

5.3. The data of the Operator's tracking systems is the sole and final basis for determining the fact of Referral attraction, the fact and amount of a Qualified Payment, and the amount of accrued Remuneration. The Partner may not dispute the Operator's tracking data based on their own statistics, third-party service data, screenshots, or other materials.

5.4. The Operator does NOT guarantee attribution of a Referral to the Partner and does NOT accrue or compensate Remuneration in cases where attribution did not occur or was lost for any reason, including, but not limited to: cookies being disabled or deleted by the Referral, use of incognito mode or ad blockers, change of device, browser, or IP address, expiration of cookies, clicking another partner's link, technical failures, tracking system errors, or other circumstances.

5.5. The Operator reserves the right to refuse attribution of a particular click, registration, or payment without explanation if the Operator has reason to believe that the click, registration, or payment does not comply with these Terms or the purposes of the Program.

5.6. A Referral is exclusively a new user who has not previously registered with the corresponding Kiges service. Previously existing users, deleted and re-registered accounts, and accounts created to simulate new users are not Referrals, and Remuneration is not accrued for them or is annulled.

5.7. The Operator is not obliged to disclose to the Partner the internal algorithms of attribution, payment qualification, and anti-fraud methods, including when considering disputes.

6. Remuneration and Payouts

6.1. The amount, calculation procedure, timing, minimum payout threshold, and other terms of Remuneration are published on the Platform and may be changed by the Operator unilaterally without prior notice, including with respect to future payments of already attracted Referrals and already accrued but not yet confirmed amounts.

6.2. Remuneration is accrued exclusively for Qualified Payments. Remuneration is NOT accrued, and accrued Remuneration is subject to annulment, for:

6.2.1. Payments that are canceled, refunded, disputed (chargeback), or were not actually received by the Operator.

6.2.2. Payments of the Partner's own accounts, persons affiliated with them, or the Partner's additional accounts (self-referral payments).

6.2.3. Payments of accounts created to simulate Referrals, including using temporary email addresses, virtual cards, and other circumvention means.

6.2.4. Payments made in violation of the documents of the corresponding Kiges service (public offer, terms of use, and other rules).

6.2.5. Payments obtained as a result of promotion methods prohibited by these Terms.

6.2.6. Test, erroneous, fraudulent, and other payments deemed by the Operator, at its sole discretion, not to correspond to the purposes of the Program.

6.3. Upon refund, cancellation, or dispute (chargeback) of a payment for which Remuneration was previously accrued or paid, the corresponding accrual is annulled. If the Remuneration has already been paid, its amount is withheld from subsequent payouts to the Partner or must be returned to the Operator upon first request within 30 (thirty) days.

6.4. Payment of Remuneration is made only if all of the following conditions are simultaneously met:

6.4.1. The amount of Remuneration confirmed for payment has reached the minimum threshold published on the Platform.

6.4.2. The Holding Period for the corresponding accruals has expired.

6.4.3. The Partner has provided current and valid payment details and, where necessary, supporting documents requested by the Operator.

6.4.4. The Operator has no suspicions of the Partner's violation of these Terms, or the corresponding review has been completed.

6.5. The timing and frequency of payouts are determined by the Operator and published on the Platform. The Operator may change the timing and procedure of payouts, and delay a payout for the duration of a review without accruing interest and without liability for such delay.

6.6. Payouts are made through third-party payment providers by the methods available on the Platform. All payment provider fees, bank fees, currency conversion costs, and other payment expenses are borne by the Partner. The Operator is not responsible for the actions or inaction of payment providers, including delays, refusals, blocks, technical failures, limits, and other circumstances on their side.

6.7. Accrued Remuneration that has not been claimed for payout or cannot be paid for reasons beyond the Operator's control (invalid payment details, lack of response from the Partner, restrictions of payment providers, sanctions and legislative restrictions, etc.) within 12 (twelve) months is annulled without the right to reinstatement.

6.8. The displayed Balance is an estimated value and does not confirm the Operator's obligation to pay until the payout is confirmed by the Operator. No interest accrues on the Balance and Remuneration amounts.

6.9. All taxes, fees, and other mandatory payments arising in connection with the Partner's receipt of Remuneration are paid by the Partner independently in accordance with the legislation of their country of tax residence. The Operator is not a tax agent of the Partner and does not withhold or pay taxes on their behalf. The Partner undertakes to provide information about their tax status upon the Operator's request.

6.10. The Operator may set off mutual homogeneous claims and withhold from payouts to the Partner amounts that must be returned to the Operator under these Terms.

6.11. The Operator's decisions regarding attribution, payment qualification, accrual, confirmation, and payment of Remuneration are final and binding on the parties.

6.12. The Operator may unilaterally correct accruals made erroneously or as a result of failures, including reducing and annulling them. Erroneously accrued and paid amounts must be returned to the Operator upon first request within 30 (thirty) days or are withheld from subsequent payouts.

6.13. The Partner may dispute an accrual or a refusal of accrual only within 30 (thirty) days from the moment the corresponding entry is displayed in the Platform interface. After this period, accruals and refusals of accrual are deemed final and are not subject to dispute.

7. Prohibited Promotion Methods

7.1. The Partner is prohibited from:

7.1.1. Registering as their own Referral, creating additional accounts to simulate Referrals, and any form of self-referral.

7.1.2. Sending spam, unsolicited mass communications (email, messengers, comments, direct messages), and any promotion without the recipient's consent in violation of applicable advertising legislation and anti-spam regulations.

7.1.3. Distributing false or misleading information about Kiges services, including promises of discounts, features, results, or earnings not confirmed by official Kiges materials.

7.1.4. Using contextual, targeted, and other paid advertising for the "Kiges" brand queries and derivatives without the prior written consent of the Operator, as well as registering domains, accounts, and names containing Kiges trademarks.

7.1.5. Cookie stuffing, forced clicks, hidden iframes, automatic redirects, clickunders, toolbars, and other technical means of simulating clicks on the Referral Link without a conscious user action.

7.1.6. Using incentivized traffic – paying or promising to pay users monetary or other rewards for clicks, registrations, or payments, except as expressly agreed with the Operator.

7.1.7. Impersonating the Operator or Kiges services, including phishing, imitation of Kiges interfaces, mailings, and payment pages.

7.1.8. Placing the Referral Link on resources with illegal, pornographic, extremist, violent content, or content violating the rights of third parties.

7.1.9. Buying, selling, and transferring accounts, referral accounts, and any actions aimed at deceiving tracking systems, circumventing restrictions, or artificially inflating accruals.

7.1.10. Using errors, failures, and vulnerabilities of the Platform and tracking systems to obtain undue accruals or other advantages.

7.1.11. Any actions that may harm the reputation of the Operator, Kiges services, or their users, or violate applicable legislation, including advertising, competition, and personal data protection legislation.

7.2. In case of violation of this Section, the Operator may immediately block the Partner's account without prior notice, annul ALL accrued and unpaid Remuneration without the right to reinstatement, and demand the return of amounts paid as a result of violations. The Operator's decision is final.

8. Rights and Obligations of the Operator

8.1. The Operator undertakes to:

8.1.1. Ensure the operability of the Platform within the limits of technical capabilities and conditions provided for by these Terms.

8.1.2. Provide technical support in case of problems with the use of the Platform related to technical malfunctions on the Operator's side.

8.1.3. Ensure the confidentiality of the Partner's information in accordance with the Kiges Privacy Policy.

8.2.3. Refuse attribution, annul accruals, and reject payouts in cases provided for by these Terms.

8.2.4. Suspend or terminate the Partner's participation in the Program without explanation and without payment of unpaid accruals in case of violation of these Terms or suspicion of such violation.

8.2.5. Conduct maintenance, updates, and infrastructure changes without prior notice.

8.2.6. Set limits on the number of Referrals, amounts of accruals, and other parameters of participation in the Program.

8.2.7. Change, suspend, or discontinue the Program entirely at its discretion.

10. Intellectual Property

10.1. All intellectual property rights to the Platform, the Program, Kiges services, their design, interface, software, trademarks, and materials provided by the Operator belong to the Operator.

10.2. The Operator grants the Partner a limited, non-exclusive, non-transferable, revocable license to use the Referral Link, Promo Code, and official promotional materials solely for the purposes and during the term of participation in the Program.

10.3. The Partner does not acquire any rights to trademarks, logos, names, and other intellectual property of Kiges and undertakes not to register domains, accounts, names, and trademarks containing Kiges designations or confusingly similar designations.

10.4. The license specified in clause 10.2 terminates automatically upon termination of the Partner's participation in the Program for any reason.

11. Liability and Disclaimer of Warranties

11.1. The Program is provided in Beta status. The Partner acknowledges and agrees that:

11.1.1. The Platform and tracking systems may contain errors, bugs, inaccuracies, and unfinished features.

11.1.2. The functionality and terms of the Program may change, be added, or removed without prior notice.

11.1.3. Certain features may not work correctly or may be unavailable.

11.1.4. The Platform may be temporarily suspended for maintenance, updates, or bug fixes.

11.2. The Operator provides no warranties, express or implied, regarding the Program, including warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights. The Program is provided on an "as is" and "as available" basis.

11.3. The Operator does NOT guarantee the Partner any income, amount of Remuneration, number of clicks, registrations, Referrals, or Qualified Payments. Any examples, estimates, and calculations posted on the Platform or in Kiges materials are for informational purposes only and do not constitute a promise of results.

11.4. The Operator is not liable for any direct, indirect, incidental, special, or consequential damages arising from participation or inability to participate in the Program, including, but not limited to, loss of income, profit, business opportunities, reputation, and accrued but unpaid Remuneration.

11.5. The Operator is not liable for:

11.5.2. Actions or inaction of Referrals, including refusal to pay, refunds, chargebacks, and their violations of Kiges service documents.

11.5.3. Technical malfunctions, errors in the Platform's operation, or temporary unavailability caused by maintenance, equipment or software failures, actions of third parties, or other circumstances beyond the Operator's control.
